These terms of use (the “Terms of Use”) apply to any visitor or user (“You” or the “Visitor”) of the websites available on the “quilium.io” domains and subdomains (the “Site”) and to any user of the services offered by Quilium (“You” or the “User”).
Their purpose is to define the conditions of use of the Site and of our services as detailed below.
Any access to and/or use of the Site and its services implies acceptance of and compliance with all of our Terms of Use.
1. Identification of the publisher of Quilium
The Site is published by the public limited company Quilium S.A., established and having its registered office at L-1741 Luxembourg, 67, rue de Hollerich, registered with the Luxembourg Trade and Companies Register (RCS) under number B 201627, VAT number LU 28181036, with a share capital of EUR 31,000 (thirty-one thousand euros), holder of a business licence issued by the Ministry of the Economy under number 10063971/0 (“We” or “Quilium”).

2. Access to the Site
The Site is available free of charge to any User with internet access. All costs relating to access to the Site, whether hardware, software or internet access costs, are borne exclusively by the User.
The User is solely responsible for the proper functioning of their computer equipment and of their internet access.
We reserve the right to refuse access to the Site, unilaterally and without prior notice, to any User who does not comply with these Terms of Use.
3. Description of the Quilium services
Quilium's purpose is the provision of services in the field of information technology and, as such, it offers the sale of web application services on a subscription basis, the development and maintenance of web applications, all activities relating to website development, the creation and hosting of sites, technical assistance, help with going online, and the creation and updating of specific software and original programs.
Through the Site, Quilium thus offers its Users paid services, in SaaS (“Software as a Service”) mode, for content management and website creation (“Our Services”).
Our services consist of solutions allowing Users to build attractive, functional and customisable websites for themselves or for their customers (“User's Customer”), at the prices and under the conditions specified in section 5.
Our Services include technical tools and specific features allowing You to create, publish and operate websites (“User Site”).
User Sites are hosted by Quilium.
Our Services do not, however, include domain name registration or maintenance services. It is the responsibility of the User or of the User's Customer to reserve, register and maintain with a registrar the domain names they need for their User Sites.
4. Creating a user account
To use our Services, You must sign up and create an account (“User Account”) using the dedicated form and fill in the mandatory fields.
You must provide accurate and complete information (contact details, valid e-mail address) when creating your User Account.
Once the creation of your User Account is complete, you will be able to access your session using your registered credentials.
Your User Account gives you access, using your credentials, to (non-exhaustive list):
our Services
the management of your user profile
the management of your organisation (grouping of users)
the centralised management of the various websites you have access to
our theme catalogue, as well as your private theme catalogue
the status of your User Account (selected subscription type, pending payment, renewal)
You must keep your User Account credentials confidential and only allow access to trusted persons, as Quilium is not responsible for actions carried out through Your User Account, nor for any damage, costs or losses that may result from such actions. You are responsible for all activities carried out with your User Account, including purchases and online behaviour.
Organisations and roles
These Terms of Use are accepted by every person who creates a User Account. User Sites belong to an organisation, represented by its owner and the members it has designated as administrators. The subscription to a User Site, the Data Processing Agreement and the obligations relating to the content and data of a User Site are entered into by that organisation, through its owner or administrators, who receive the contractual notices relating to it (invoices, changes to the Services, sub-processor notifications, security incidents).
A person invited into an organisation as a member without administrative rights is bound by these Terms of Use for the use of their own User Account, but does not take out the subscription or enter into the Data Processing Agreement on their own behalf, and is not the recipient of those notices. The organisation is responsible for the persons it invites and for the access it grants them.
5. Prices and terms of the Quilium Services
Our Services are offered on a per-User-Site subscription basis. Once their account is created, the User chooses their subscription plan and its duration.
Subscriptions are offered per User Site in two plans, Starter and Portal, billed annually or monthly. Each plan includes a monthly allowance of AI assistant credits, which can be topped up in packs. The Partner program is an account-level status intended for agencies and freelancers who build User Sites for their own customers: it gives access to partner pricing on Quilium units (sites, AI credits and add-ons) and to the onboarding, training and support services described on the Quilium Site. The amounts in force and the terms of the Partner program are displayed on the Quilium Site.
How subscriptions work: subscriptions are reserved for Users.
Quilium's subscription prices for the use of our Services are:
available on the Quilium Site,
inclusive of all taxes and calculated at the standard rate applicable in Luxembourg. Please note that the VAT rate applicable to the services ordered by the User may differ, depending on the location of the taxable transaction. The prices of the Services used by the User are shown, inclusive of all taxes at the rate applicable at the User's place of residence or establishment, in the order summary and on the invoice.
They are payable online through the secure online payment interface. You will be charged the amount of your subscription, inclusive of taxes, as follows:
Subscriptions are taken out for the chosen period of validity and are payable in a single payment.
No partial refund will be granted in the event of unilateral termination without cause during the period.
Validation and payment:
The User then validates their subscription by clicking the “Confirm and pay” button and proceeds to the online payment of their subscription in accordance with the instructions on the site and using the authorised payment methods.
The User then receives a confirmation e-mail for their subscription, including its details.
Sites in preparation: the creation and preparation of a User Site that is not online (without a connected domain name, served on a technical Quilium subdomain) are free of charge. The corresponding subscription is only due from the moment the User Site goes online. Sites in preparation are subject to technical limits (storage, bandwidth, AI assistant credits) and may be deleted after a prolonged period of inactivity, subject to prior notification. A User Account without an active subscription is limited to one (1) User Site in preparation; this limit is lifted as soon as a subscription is active on the account. A site served in production through a third-party service is considered to be online.
Billing terms:
Quilium will charge the amount of your subscription from the moment the User Site goes online, in accordance with the terms of your subscription (monthly or annual payment), to your bank account.
For subscriptions taken out during a month, which do not take effect on the first day of the month, Quilium will calculate a pro rata of the subscription amount for the invoice corresponding to the first month of provision of our Services, and for the one corresponding to the last month of provision of our Services, taking into account the actual number of days the subscription is in place.
Any claim relating to invoices and Services must be sent in writing to Quilium by e-mail at the address: within two weeks of the charge. After this period, the User is deemed to have accepted the invoice, both in principle and in amount.
Lodging a claim does not release the User from their obligation to pay.
Late payment
In the event of late payment by business Users, Quilium will be entitled to claim interest in accordance with the legal provisions of the law of 18 April 2004, namely that invoices unpaid at their due date will bear interest at the ECB key rate plus 7%.
By exception, where the User is a consumer, Quilium may recover late-payment interest at the legal rate from the end of the third month following the provision of its Services.
Likewise, in the event of late payment, Quilium will be entitled to suspend its Services without delay.
6. Obligations of the User
The User declares and warrants that they are at least 18 years old and have the legal capacity and authority to agree to the Quilium Terms and to enter into a binding agreement for themselves or on behalf of the person or entity they represent.
The User warrants that they hold all rights to any content uploaded by them, or imported, copied or uploaded through the Quilium Services on their behalf, to their User Site(s) (“User Content”), including any design, image, animation, video, audio file, font, illustration, composition, artwork, interface, text, literary work and any other material, or that they have the full authority, title, licences and consents over the User Content required to import, copy, use, publish, transfer or license that User Content.
The User warrants that the User Content is not misleading, does not infringe any third-party rights and is in no way unlawful. They undertake not to disseminate any information with the following characteristics:
contrary to public order and morality, insulting, defamatory, racist, xenophobic, revisionist or damaging to the honour or reputation of others,
inciting discrimination or hatred against a person or a group of persons on the grounds of their origin or their membership or non-membership of a given ethnic group, nation, race or religion,
threatening a person or a group of persons,
of a pornographic or paedophilic nature,
inciting to an offence, a crime or acts of terrorism, or glorifying crimes, acts of terrorism, war crimes or crimes against humanity,
inciting to suicide,
protected by copyright, trademark law and intellectual property in general, without authorisation.
The User undertakes to comply with all applicable legislation and all other contractual provisions governing their use of the Quilium Services. They thus undertake not to use or divert the Site and its Services in an unlawful manner or in a way that would allow an undue profit to be made at the expense of Quilium or of any other natural or legal person.
The User undertakes in particular not to market or offer, through their User Site, products or services that are illegal or contrary to morality.
The User is required to save and back up their User Content and the information processed on their User Site(s) on a regular basis.
You acknowledge and accept that failure to comply with the above may result in the immediate termination of your User Account and/or of the Services provided, with or without further notice and without any refund of the amounts paid for those Services.
7. Termination and right of withdrawal
Termination by the User
You may request the closure of each of your websites and of your User Account at any time, in accordance with the instructions available on the Site.
Please note that the termination process may take a few days and that Quilium does not refund any amounts already paid by the User.
After the closure of a User Site, its data remains available for retrieval for thirty (30) days, then is deleted from the production systems and, within ninety (90) days, from backups, as described in the Data Processing Agreement.

Failure to comply with any of Quilium's Terms of Use and/or failure or delay in paying for the Services entitles Quilium to suspend (until full payment) or cancel your User Account and your User Site(s).
Right of withdrawal
A User who is a consumer has a right of withdrawal that may be exercised within 14 (fourteen) days from the date of taking out the subscription online. If the last day of the period is not a business day, the period is extended to the next business day. This right may be exercised without giving any reason, without penalty and free of charge.
To exercise their right of withdrawal, the User must notify Quilium by e-mail, before the expiry of the above period, of their decision to withdraw from their subscription.
In accordance with Article L.222-9 of the Luxembourg Consumer Code, the refund will be made without undue delay and, in any event, no later than 14 days from receipt of the withdrawal request for the services. The refund will be made using the same means of payment as the one used by the User for the initial transaction.
Quilium nevertheless draws the consumer User's attention to the loss of their right of withdrawal if the User has started to use Quilium's Services, in accordance with Article L.222-9 7) a) and m) of the Consumer Code.
8. Limitations of liability
Quilium uses all reasonable means to ensure quality access to the Site and the security of the data you send Us through the Site.
Quilium reserves the right, at any time, to temporarily interrupt access to all or part of the site for technical reasons, to amend the contractual terms or to bring the site into compliance with legal or regulatory provisions, without having to inform the User beforehand.
Quilium cannot be held liable for malfunctions or failures of the network or servers, or for any other technical malfunction beyond its reasonable control that would prevent or impair access to all or part of the Site, nor in the event of force majeure as defined by the applicable regulations.
The User's attention is drawn to the limitations and constraints inherent in the internet and to the impossibility of fully guaranteeing the security of data exchanges. It is therefore the User's responsibility to take all necessary measures to protect themselves against unauthorised intrusions into their information system, in particular by securing their internet connection with a password and a security code or by using appropriate anti-virus software.
Furthermore, the User is informed that the quality of the operation of the Site, and in particular response times, may vary depending on the personal settings of their device and of their internet access service. Quilium assumes no liability in this respect.
Consequently, Quilium can in no case be held liable, directly or indirectly, for malfunctions of the Site caused by one or more of the technical characteristics inherent in the internet, or in the computer hardware or software you use, for any reason whatsoever.
Likewise, no malfunction of the Site, including any loss of data saved by or on the User Account, may be attributed to Quilium where such malfunction results from improper use of the Site by the User, or from the inadequacy of the computer hardware and software used.
Consequently, the use of the information and content available on all or part of the Site can in no case engage Our liability, on any grounds whatsoever.
Quilium can in no case be considered a “publisher” of any User Content and will assume no liability for any User Content published through the Quilium Services. In addition, Quilium disclaims all liability in the event of error, defamation, insult, falsehood, obscenity, pornographic content, incitement and/or for any other unlawful and/or infringing user content that you or any party may encounter.
9. Content and intellectual property
User's intellectual property
All intellectual property relating to your User Content and to any other element created by you, including any design, image, animation, video, audio file, font, logo, illustration, composition, artwork, code, interface, text and literary work, belongs to you.
For the sole purpose of providing You with the Services, You agree that Quilium may access, upload and/or copy your User Content to the Site, including cloud and CDN services, in order to make display adjustments, to duplicate it for backup purposes and to carry out any other operation required for the operation of the Quilium services.
Quilium's intellectual property
The entire Site, including its structure, tree structure, graphics, object or source code and its content (in particular texts, graphics, images, photographs, videos, information, logos, button icons, software, audio and other files, databases) is protected by intellectual property, in particular by copyright and trademark law.
Subject to your full compliance with the Quilium Terms and the timely payment of all applicable Fees, Quilium grants you, as well as your customer if you use the Quilium Services to build your customer's website, for an unlimited period, a non-exclusive, non-transferable, non-sublicensable, fully revocable and limited licence to use the Quilium Services and the licensed content for the purpose of generating and displaying your User Site to End Users and offering your products and services.
You may not use the Site for purposes other than those set out above, and in particular you may not reproduce or publicly display, modify, extract or decompile all or part of the Site, including in particular its structure, tree structure, graphics, object or source code and its content (in particular texts, graphics, images, videos, information, logos, button icons, software, audio and other files, databases), without Our prior express consent.
Any breach of the above may engage Your liability.
Suggestions and product feedback
The Quilium Services include a “Got an idea?” feature allowing you to send us suggestions, improvement ideas or feature requests (the “Feedback”). Feedback is sent voluntarily and free of charge. You grant us, on the Feedback, the non-exclusive, worldwide, irrevocable and royalty-free right to use, reproduce, modify and integrate it into the Quilium Services, without any obligation of attribution, remuneration or confidentiality, and without this conferring any right over the Quilium Services or their developments. Quilium is under no obligation to respond to or act on Feedback. Feedback must not contain third-party personal data, or confidential information or information covered by third-party rights, in particular in the screenshots You choose to attach. The processing of personal data associated with Feedback is described in our privacy policy.
Commercial references
You authorise Quilium to mention your name and reproduce your logo, including in monochrome, as a commercial reference on the quilium.io site and in its communication materials. You may withdraw this authorisation at any time by simple written notice to [email protected]; Quilium will then remove the reference within thirty days.
10. Inappropriate behaviour and infringement of intellectual property rights
If you believe that a User has acted inappropriately or has infringed an intellectual property right, please report that User immediately by e-mail to the following address: . Quilium will review your report and act accordingly, refrain from acting, or request additional information or documents, at its sole discretion.
11. Hyperlinks
The Site may contain hyperlinks or references to other websites, including social networks, belonging to third parties. We accept no liability for the content of those websites.
Any hyperlink to the Site requires Our prior express consent.
12. Evidence / Archiving of evidence
The computer data generated by accessing and/or using the Site (including, in particular, programs, connection data, files, records, transactions and other elements on computer or electronic media) (the “Data”) may be retained and archived by us, within the limits provided by law, in our computer system, under conditions that guarantee its integrity.
The Data is authoritative between You and Us and will be considered as evidence of the communications between You and Us.
The Data constitutes documentary evidence within the meaning of Article 1341 of the Civil Code and has the same evidential value as a document drawn up, received or kept in writing on paper.
Consequently, the Data may validly be produced as evidence and relied upon against You in any claim or legal action, with the same evidential value as any document drawn up, received or kept in writing on paper, which You expressly acknowledge.
We undertake not to contest the admissibility, enforceability or evidential value of the Data on account of its electronic nature, and You undertake likewise.
You may access all of the Data on simple request sent to us by post or by e-mail.
13. Personal data
Quilium informs the User that personal data is collected and processed in the context of the use of the Site's services and the performance of the Terms of Use, and invites the User to read its privacy policy.
Where the User processes, through the Quilium Services, personal data for which they are the controller (in particular the data of their User's Customers and of the visitors of their User Sites), Quilium acts as a processor within the meaning of Article 28 of the GDPR. This processing is governed by the Data Processing Agreement (DPA), which forms an integral part of these Terms and which the User accepts when creating their User Account.
14. Amendments
Quilium may amend these Terms of Use. Any amendment is notified to Users by e-mail, at the address of their User Account, at least thirty (30) days before it takes effect, together with a summary of the changes. A User who refuses the new Terms may close their User Account before that date. Continued use of the Services after the amendment takes effect constitutes acceptance of the amended Terms. Previous versions remain available on the Site. Amendments required by law or necessary for security may take effect without notice.
These terms of use will prevail over any other terms appearing in any other document, unless otherwise agreed in advance, expressly and in writing.
These Terms of Use are drawn up in French. The English version is provided for information only, to help you understand them. In the event of any discrepancy or difficulty of interpretation between the two versions, the French version prevails.
15. Applicable law and jurisdiction
These Terms are governed by Luxembourg law, subject, for consumer Users, to the mandatory provisions they may benefit from in their country of residence.
Subject to the mandatory legal provisions applicable to consumer Users, the Luxembourg courts will have exclusive jurisdiction over any dispute relating to the interpretation, application and performance of these Terms of Use, as well as any dispute relating to the use of the Site.
